​Giveaway Prizes: Grand Prize $200 Fresh Thyme Market™ gift card and a Beyond™ Prize Pack ("Giveaway Prizes")

​Official Rules:

No purchase necessary to enter or win a prize in this Giveaway. A purchase will not increase your chances of winning. Void where prohibited by law. 
 
This Giveaway is open to legal residents of any one (1) of the fifty (50) United States or District of Columbia and are at least 18 years old and the age of majority in their state or jurisdiction of primary residence.  
 
By entering this Giveaway, you agree to these Official Rules, which are a contract, so read them carefully. Without limitation, this contract includes indemnities to the Sponsor from you and a limitation of your rights and remedies. 

Note that the “ARBITRATION AGREEMENT” section below contains provisions that require, where permitted by law, all disputes arising out of or relating to participation in this Giveaway – with limited exceptions – to be resolved in binding arbitration, and not in court, and that you waive the right to bring or participate in a class action in connection with such disputes. Please read the ARBITRATION AGREEMENT carefully. By participating in the Giveaway, you hereby agree to be bound by the ARBITRATION AGREEMENT.

1.      OVERVIEW: 
The Giveaway is available 24 hours a day during the Giveaway Period noted above. During the Giveaway Period, eligible participants (see ELIGIBILITY section) can enter for a chance to win the Grand Prize (see PRIZE & APPROXIMATE RETAIL VALUE (“ARV”) section) by following the instructions in the HOW TO ENTER section below. Entry into this Giveaway does not result in entry into any other Giveaway offered by Sponsor.  The Giveaway Period shall begin at 12:00 am PT on the first day of the Giveaway Period, and shall end as of 11:59:59 pm PT on the last day of the Giveaway Period.

2.      SPONSOR:
This Giveaway is sponsored by Beyond Meat, Inc., c/o Busy Bee Promotions, Inc, 1843 W Hubbard St, Chicago, IL 60622 (“Sponsor”).​

3.      ELIGIBILITY:
This Giveaway is open to legal residents of one (1) of the fifty (50) United States or the District of Columbia who are at least 18 years old and the age of majority in their state of residence at time of entry (the “Territory”). Employees, officers, directors, members, managers, agents, and representatives of Sponsor, or their respective corporate parents, partners, divisions, subsidiaries, affiliates, assigns, and successors in interest, each of their respective advertising, promotion and public-relations agencies, and any other party participating in the development, design, administration, or fulfillment of this Giveaway (collectively, the “Released Parties”), and the immediate families (defined as any spouse, partner, parent, legal guardian, sibling, child, legal ward, grandparent, or grandchild, regardless of where they reside) and members of the same household (whether legally related or not) of each such individual, are ineligible to participate or win the prize in this Giveaway. Participation in this Giveaway constitutes participant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor.

4.      HOW TO ENTER:
During the Giveaway Period, to receive one (1) entry (“Entry”), eligible participants must complete and submit the online entry form available by scanning the Quick Response Code (the “QR Code”) for this Giveaway posted in stores, on social media, typing the URL Contest2Go.com/beyondfresh, or clicking links found in advertisements.
 
Each participant must complete the Entry Form by submitting their (1) full name; (2) phone number; (3) email address; and (4) acknowledgment of these Official Rules and Beyond™ Privacy Policy (available at https://www.beyondmeat.com/en-US/privacy-policy).  The Entry Form must be completed and successfully submitted by participant during the Giveaway Period. Only completed registrations actually received by Sponsor during the Giveaway Period will render the participant eligible to participate in this Giveaway. All entries become the sole property of the Sponsor and will not be returned. 
 
Limit one (1) Entry and one (1) Bonus Entry (collectively the “Entries”) per person and per household for the entire Giveaway. Any participant who attempts to participate multiple times in addition to the Entry (e.g., submitting the Entry Form more than once) is in violation of these Official Rules and may be disqualified. Any purported Entries that are incomplete or completed/received outside of the Giveaway Period will be void. Sponsor’s determination of eligibility and the earning or failure to earn an Entry into the Giveaway will be final and binding on all participants. Purported Entries that in the Sponsor’s sole judgment are fraudulent, forged, altered, incomplete, lost, late, misdirected, mutilated, illegitimate, incomprehensible, garbled, or generated by a macro, bot, or other automated means will not be accepted and any purported Entries earned thereby will be void. Entries or participation made on behalf of any other individual or any entity or group will be declared invalid and disqualified for this Giveaway. If there is any technological error or difficulty with the Giveaway, Sponsor reserves the right to suspend the Giveaway and refuse to award any associated prizes until the technical difficulties are resolved to Sponsor’s sole satisfaction.  In the event of a dispute about the identity of an entrant, Sponsor may disqualify the entrant in its sole discretion. Sponsor is the official timekeeper for the Giveaway. By entering the Giveaway, each participant agrees to be bound by these Official Rules or the instructions of Sponsor or its representatives, whose decisions are final and binding on all matters relating to the Giveaway. Winning a prize is contingent upon fulfilling all requirements in these Official Rules. As a condition of entering the Giveaway, without limiting any other provision in these Official Rules, each participant gives consent for Sponsor and its agents to obtain and deliver their name and other information and content to third parties for the purpose of administering this Giveaway and complying with applicable laws, regulations, and rules.

5.      WINNER SELECTION/NOTIFICATION:
Within approximately fourteen (14) business days after the conclusion of the Giveaway Period, Sponsor will conduct a randomized drawing to select one (1) potential Grand Prize Winner (“Winner”) from among all eligible Entries received throughout the Giveaway Period.  Odds of being selected depend on the number of eligible Entries received.  
The Winner will be notified by phone, and/or email within approximately ten (10) business days of the drawing by Sponsor or Sponsor’s representative. The Winner must respond to such notification in accordance with Sponsor’s instructions within seven (7) business days (or other time frame as indicated in Sponsor’s notification to the Winner). Sponsor reserves the right to choose an alternate winner in the event that a potential winner has been disqualified or is deemed ineligible (including, without limitation, if an attempted notification or prize is returned as undeliverable), in Sponsor’s sole discretion. As a condition of receiving the Grand Prize, the Winner may be required to complete and sign an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law), any required tax documentation, and any other documents required by Sponsor (collectively, the “Winner Documents”). Failure to complete the Winner Documents in the form provided by Sponsor’s representative, and in accordance with Sponsor’s representative’s instructions, may result in forfeiture of the Grand Prize. 
 
Sponsor reserves the right to contact (either itself or through Sponsor’s representatives) any participant for verification purposes and administration of the Giveaway. The Grand Prize, if legitimately claimed, will be awarded. Sponsor will not be obligated to pursue more than three (3) alternate winners for any prize.

6.      ​PRIZES & APPROXIMATE RETAIL VALUE (“ARV”):
Grand Prize: Subject to verification, one (1) confirmed winner will receive a prize consisting solely of one (1) two-hundred dollar ($200) Fresh Thyme Market™ gift card and Beyond™ Prize Pack (the “Grand Prize”). Gift card is subject to all terms and conditions imposed on its use by its issuer, as specified on the gift card or in its accompanying materials, and is valid only in the U.S.A. for use at Fresh Thyme Market™ locations. ARV of Grand Prize: $250.   
 
All prize details not specified in these Official Rules will be determined by Sponsor in its sole discretion. Any taxes (federal, state, and local) and all other costs and expenses associated with prize acceptance or use and not specified in these Official Rules as being part of the prize will be the sole responsibility of Winner. Winner may be issued a 1099 and related tax forms for the actual value of the prize.  No more than the stated prizes will be awarded. Sponsor will not replace any lost, mutilated, or stolen prizes or prize elements or any prizes that are undeliverable or do not reach any Winner because of an incorrect or changed address. Sponsor is not responsible and will have no liability for Winner’s inability to accept or use the prize for any reason. If Winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited, and Sponsor will have no further obligation with respect to that prize or portion of the prize. No transfers, cash redemptions, or prize substitutions will be made.  Winner is strictly prohibited from transferring the right to receive the prize, except with Sponsor’s permission, which may be granted or withheld for any reason in its sole discretion. Sponsor reserves the right to substitute any prize or portion thereof with another prize or portion thereof of equal or greater value for any reason, including unavailability of the stated prize. Each participant waives the right to assert as a cost of winning any prize any and all costs of verification and redemption or travel to claim the prize and any liability and publicity which might arise from claiming or seeking to claim said prize.

7.      RELEASE / INDEMNITY / LIMITATION OF LIABILITY:
By entering the Giveaway by submitting an Entry and/or a Bonus Entry, each participant agrees to release, discharge, hold harmless, and indemnify each of the Released Parties from and against any claims, damages, disabilities, attorneys' fees, and costs of litigation and settlement, as well as any liability whatsoever, for injuries or damages of any kind sustained in connection with: (i) the Giveaway; (ii) the use, acceptance, possession, misuse or awarding of the Grand Prize; or (iii) while preparing for, participating in, and/or traveling to any Grand Prize-  or other Giveaway-related activity, including, without limitation, any injury, damage, death, loss, or accident to/of person or property. 
 
By entering the Giveaway, participant agrees that, to the maximum extent permitted by applicable law: (1) any and all disputes, claims and causes of action arising out of or connected with the Giveaway, or any prizes awarded, will be resolved individually, without resort to any form of class action; (2) any and all claims, judgments and awards will be limited to actual third-party, out-of-pocket costs incurred (if any) not to exceed ten dollars ($10.00), but in no event will attorneys’ fees be awarded or recoverable; (3) under no circumstances will any participant be permitted to obtain any award for, and participant hereby knowingly and expressly waives all rights to seek, punitive, incidental, consequential or special damages, lost profits and/or any other damages (other than actual out-of-pocket expenses not to exceed ten dollars ($10.00)) and/or any rights to have damages multiplied or otherwise increased; and (4) participant’s remedies are limited to a claim for money damages (if any) and participant irrevocably waives any right to seek injunctive or equitable relief.

 

8.      ​ARBITRATION AGREEMENT / GOVERNING LAW:
Except where prohibited by law, as a condition of participating in this Giveaway, entrant agrees that (1) any and all disputes and causes of action arising out of or connected with this Giveaway, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the Sponsor; (2) the Federal Arbitration Act shall govern the interpretation, enforcement, and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than entrant's actual out-of-pocket expenses (i.e., costs associated with participating in this Giveaway), and entrant further waives all rights to have damages multiplied or increased. 
 
All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Giveaway, shall be governed by, and construed in accordance with, the substantive laws of the State of California, USA.

9.      ADDITIONAL DISCLAIMERS: 
The Released Parties are not responsible and/or liable for any of the following, whether caused by a Released Party, a participant, or by human error: entries that are submitted by illegitimate means (such as, without limitation, by an automated computer program) or entries in excess of any stated limit; any lost, late, incomplete, illegible, unintelligible, garbled, mutilated, or misdirected entry, email, mail, or Giveaway-related correspondence or materials or postage-due mail; any error, omission, interruption, defect or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable cable or satellite systems; errors, typos, or misprints in these Official Rules, any Giveaway-related advertisements, or other materials; failures of electronic equipment, computer hardware, or software; lost or unavailable network connections or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or entry information. Released Parties are not responsible for electronic communications that are undeliverable or do not reach participant as a result of any form of active or passive filtering of any kind or insufficient space in a participant’s email or voicemail inbox. Without limiting any other provision in these Official Rules, the Released Parties are not responsible or liable to any participant or winner (or any person claiming through such participant or winner) for failure to supply the prize or any part thereof in the event that any of the Giveaway activities or Released Parties’ operations or activities are affected by any cause or event beyond the sole and reasonable control of the applicable Released Party (as determined by Sponsor in its sole discretion), including, without limitation, by reason of any acts of God, equipment failure, threatened or actual terrorist acts, air raid, act of public enemy, war (declared or undeclared), civil disturbance, insurrection, riot, epidemic, pandemic or similar related issues, fire, explosion, earthquake, flood, hurricane, unusually severe weather, blackout, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, any law, rule, regulation, action, order, or request adopted, taken, or made by any governmental or quasi-governmental entity (whether or not such governmental act proves to be invalid), or any other cause, whether or not specifically mentioned above.

10.   GENERAL RULES:
Sponsor’s decisions will be final in all matters relating to this Giveaway, including interpretation of these Official Rules, selection of the Winner, and awarding of the prize. All participants, as a condition of entry, agree to be bound by these Official Rules and the decisions of Sponsor. Participants further agree to not damage or cause interruption of the Giveaway and/or prevent others from participating in or engaging with the Giveaway. Sponsor reserves the right to restrict or void entries or other participation from any IP address or other identifiable source if any suspicious entry and/or participation is detected.  Sponsor reserves the right, in its sole discretion, to void the entry of any entrant who Sponsor believes has attempted to tamper with or impair the administration, security, fairness, or proper play of this Giveaway. Sponsor’s failure or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision.  In the event there is an alleged or actual ambiguity, discrepancy, or inconsistency between disclosures or other statements contained in any Giveaway-related materials and/or these Official Rules (including any alleged ambiguity, discrepancy, or inconsistency within these Official Rules), it will be resolved by Sponsor in its sole discretion.  Participants waive any right to claim ambiguity in the Giveaway or these Official Rules.  If Sponsor determines at any time in its sole discretion that Winner is disqualified, ineligible, in violation of these Official Rules, or engaging in behavior that Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, or harass any other person, Sponsor reserves the right to disqualify that Winner, even if the disqualified Winner may have been notified or displayed or announced anywhere.  The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. If the Giveaway is not capable of running as planned for any reason, Sponsor reserves the right, in its sole discretion, to cancel, modify, or suspend the Giveaway and award the prizes from eligible, non-suspect entries received prior to cancellation, modification, or suspension (if any) or as otherwise deemed fair and appropriate by Sponsor. If any person supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain a prize, Sponsor may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law. If a dispute cannot be resolved to Sponsor’s satisfaction, the entry will be deemed ineligible. Caution: any attempt to damage any online service or website or undermine the legitimate operation of the Giveaway may violate criminal and civil laws. If such an attempt is made, Sponsor may disqualify any participant making such attempt and may seek damages to the fullest extent permitted by law.

Any personal information Sponsor reviews or collects for this Giveaway will be subject to, and treated in a manner consistent with, Sponsor’s privacy policies posted at https://BeyondMeat.com/pages/privacy-policy

12.   WINNER’S LIST/OFFICIAL RULES:

For a copy of these Official Rules or to find out who won, send a stamped self-addressed envelope to: Go Beyond™ Giveaway Winners, c/o Busy Bee Promotions, Inc, 1843 W Hubbard St, Chicago, IL 60622. Rules requests must be received during the Giveaway Period. Requests for the winners list must be received within sixty (60) days of the close of the Giveaway Period. Please include a 3 x 5 index card specifying the name of the Giveaway (if applicable).

This Giveaway is sponsored solely by Sponsor and is in no way sponsored, endorsed, administered by, or associated with Sprouts, Instagram, Meta, or any of their respective affiliates, subsidiaries, agents, or representatives. Any trademarks, trade names, or brand names used in connection with this Giveaway are the property of their respective owners and are used solely for prize identification and mode of entry purposes. By participating, participants acknowledge that they are providing information to the Sponsor as described herein and not to Fresh Thyme Market™, Instagram, Meta, or any other third party.
